SAHARA’S RESPONSE to SEBI’s irresponsible & wrongful ex-parte order which has left us sadly astonished
Though as an institution, SEBI is a highly responsible and one of the respectable regulators of the Country, but certain individuals occupying their office, act with malice and biased approach which serve no public good and earn only a bad name.
Registrar of companies under Ministry of Company Affairs officially and lawfully had allowed the unlisted companies Sahara India Real Estate Corporation Limited (SIRECL) and Sahara Housing Investment Corporation Limited (SHICL) to issue Optionally Fully Convertible Debentures, based on our Red Herring Prospectus fully complying with the provisions of Companies Act 1956 (the Act) keeping in view the latest provisions of first proviso to Sec. 67(3) of the Act.
Unfortunately some officers bearing the grudges against the Sahara India Pariwar, repeatedly not fulfilling there vested legal demands, have even gone to the extent of uploading the order on website; and not supplying it directly to the company. This is but obvious to whimsically hit the company and disturb its well wishers and investors from associating with it.
SEBI in the past fought with Insurance Regulatory and Development Authority (IRDA) and now giving us direction to stop issuing Bonds (OFCDs) which has been permitted by Ministry of Company Affairs (MCA) without consulting a word even with the actual regulator MCA.
Note : Media has also wrongly interpreted and stated that in M/s. Sahara Prime City Limited IPO has been rejected by SEBI.
SEBI had been seeking informations from us about OFCDs. We all the time wrote back that this matter is not definitely under SEBI’s jurisdiction. We should not become the victim of cross fire between two Government regulators SEBI and MCA.
We submitted to SEBI the legal opinion that this OFCD is definitely not the matter of SEBI, it is not their jurisdiction. This opinion has clearly been submitted in SEBI given by five legal luminaries namely Shri A.M. Ahmadi, Former Chief Justice of India; Shri C. Achuthan, Former Presiding Officer, Securities Appellate Tribunal, Mumbai; Shri S.P. Kurdukar, Former Judge, Supreme Court of India; Shri A.K. Manmadhan, Advocate, High Court of Bombay and Shri U.P. Mathur, (Former Secretary Company Law Board & former Director of Inspection & Investigation in the Department of Company Affairs), Advocate & Corporate Law Consultant.
Not only this the SEBI has also shown total disrespect to the orders passed by Hon’ble High Court of Bombay in the matter of Kalpana Bhandari and Others vs Securities and Exchange Board of India and others 2004 (1) BomCR 663, 2005 125 CompCas 804 Bom in which it has given that “SEBI has powers (i) in case of listed public companies and (ii) in case of those public companies which intend to get their securities listed on any recognised stock exchange in India. In other words SEBI does not have power in relation to the issue and transfer of securities and non-payment of dividend under the various provisions referred to in section 55-A for the companies other than listed public companies and the public companies which intend to get their securities listed on any recognised stock exchange in India. Such power is vested in the Central Government”.
Note: Sahara companies in question are neither listed nor intend to be listed.
SEBI is doing all these irresponsible acts based on some baseless (anonymous also) complaints. We repeatedly asked SEBI for the name and address of complainant which they so wrongfully refused to inform us. Recently the main complaint case against us has been totally rejected by Government of Madhya Pradesh. We some times face these complaint problems from very greedy people who try to extort large sum from us which we never have entertained or allowed.
SEBI in its order has cited various information it collected through MCA website vindicates the stand of the company that the information required as per the Act have been supplied to proper regulator, i.e., MCA. Further, when company had appealed SEBI to wait till receiving the directions of MCA and no undue long time had elapsed, the action of SEBI looks to be taken in haste with bias. The reasons look apparent but we have no written basis to mention here. It is apparent that SEBI has for best reasons known to it, totally ignored all legal opinions and Hon’ble High Court Judgement.
SEBI’s very important reaction was that we are not supplying them all the information that they are asking for. We wonder why they asked these information from us and why not from MCA? You please go through the part of our detailed last letter of 30th September 2010 to SEBI that clearly says why we have not sent them the information.
“Once again our humble request to you is to take all information from Ministry of Corporate Affairs (MCA) who are the regulators in this matter. There may be jurisdictional problems amongst Regulators like it happened between SEBI and IRDA recently, still the Business and Industry like us should not be put as party in cross fire, as it is happening with us, hence please do not make our company as disobedient company in the eyes of its Regulator, i.e., MCA. When information was taken on our deposit mobilization (RNBC) activities of our Group Company from RBI why not to take information on Bonds (OFCD) from MCA.
Inside information from SEBI’s internal people says that if we give all the information ourselves to SEBI, SEBI would take action against Sahara through Media to disturb Sahara establishments. If SEBI takes all information from MCA they won’t be able to act against Sahara. Of course, SEBI knows this is wrong and arbitrary action which will not stand in legal trial but SEBI will create Media trial to destabilize Sahara. The above is substantiated with the fact that SEBI is not taking the information from MCA and is insisting to get it from the Company. Kindly take the information from MCA.
We do not want to blame SEBI which is definitely a highly respected institution and we genuinely respect SEBI as institution. Yes, there are sometimes such individuals who go unreasonable and baselessly biased and create unnecessary problems. We are definitely pained.
We are an orgnaisation where 9 lac families are earning their bread and butter. Please do not disturb us unreasonably, unnecessarily. Please support on merit and bless us.”
In the past also similar biased act of regulator we have experienced, so we were very apprehensive and after this biased order our apprehension has now come right.
SEBI has talked about 4 to 7 thousand crores which we have received through OFCDs etc. Out of confusing so many newspapers etc. had mentioned about Rs. 20000 plus 20000 crores etc. SO..

SEBI could have approached MCA in this matter to fulfil their duties towards the masses (as they are claiming). Otherwise they would have given this order in the interest of people (so called claim by SEBI) directly to us through a letter. What was the reason of putting 34 pages in their website to make it public? Respected Readers must be understanding the intentions clearly.
So in the interest, image, goodwill of entire Sahara India Pariwar SEBI has pushed us against the wall that is why we are forced to come out with all above details.

Under the Special Awards there are following categories - Outstanding Performance at Commonwealth Games (Male) and Outstanding Performance at Commonwealth Games (Female).
The Sahara India Sports Awards also have two special categories - the Legend Honour and the Unsung Hero Awards. The Legend Honour is given to the sportsperson who has excelled in his field to a degree that his feat and contribution to the sport deserves the place of a legend. The Unsung Hero Award, every year honors those sportsmen whose achievements and feats have slipped into oblivion with time and require recognition and support.

Sahara Hospital Collaborates with Roentgen Oncologic Solutions to set-up high end Radiation Oncology Center
Already offering Medical and Surgical Oncology, Sahara Hospital with the state-of-the-art Radiation Oncology Center will become the first total Cancer Care Center in the region
Lucknow, October 27, 2010: Sahara Hospital, the multi-disciplinary, super-speciality, Tertiary Care hospital, today, signed a Joint Collaboration Agreement with M/s Roentgen Oncologic Solutions to set up a state-of-the-art Radiation Oncology Center at the Hospital. Sahara Hospital’s Cancer Department which already has Medical and Surgical Oncology speciality, with the set up of the Radiation Oncology Center, will be able to provide a cost effective and complete range of treatments to Cancer patients at Lucknow for which they had to travel to cities like Mumbai or Delhi. ‘Sahara – Roentgen Radiation Oncology Center’, as the center will be called, will provide a complete array of latest radiation treatments to cancer patients including, Intensity Modulated Radiation Therapy (IMRT), Image Guided Radiation Therapy (IGRT), Stereotactic Radiation Therapy (SRT), CT Simulation, Digital Portal Imaging and HDR Brachytherapy.
The center aims to provide the most comprehensive and advanced radiation oncology care to cancer patients by specially trained radiation oncologists that are skilled in a wide range of standard and emerging treatments and at the same time will ensure that quality and personalised care is given every patient. The experience of the medical team comprising of the trained specialists, will blend with the latest technology, resulting in better outcome for the patients.
The latest range of equipment at the Sahara – Roentgen Radiation Oncology Center together with the techniques adopted by specialists to treat tumors with pinpoint accuracy, will eliminate most of the side effects that accompany radiation treatment, thereby, ensuring that tumors get the most effective dose while healthy tissues and organs are spared. The equipment that will be installed in the center will include a dual energy linear accelerator that yields treatment times that are shorter, making the overall experience of the patient more comfortable and relaxed. The precision will allow the specialists to spare healthy tissues, to an extent that was unimaginable only a few years ago. From the short listed names drawn by through the SJFI nominations, the final awardees under respective will be selected by a 14 person sports jury constituting of living legends from different sports discipline like Cricket, Billiards, Tennis, Golf, Squash, Hockey, Athletics, Boxing, Badminton, Football, Chess, Table Tennis etc. The jury panel will be led by cricketing legend Mr. Sunil Gavaskar as the Chairman of the jury. The entire selection process will be audited and monitored by Ernst & Young.

Lucknow, August 17, 2010: Sahara India Pariwar, the prime promoter and patron of sports in India, today felicitated Indian shooters Ms. Tejaswini Sawant, Mr. Gagan Narang and Mr. Asher Noria, who made India proud by winning medals at the prestigious 50th International Shooting Sport Federation (ISSF) World Shooting Championship held at Munich, Germany. In the grand felicitation ceremony, organized at Sahara Shaher Lucknow, Saharasri Subrata Roy Sahara, Managing Worker and Chairman, Sahara India Pariwar, in presence of Mr. Avtar Singh Sethi, Officiating President, National Rifle Association of India (NRAI), gave appreciation certificates other than an incentive of Rs. 5 lac to Ms. Tejaswini Sawant, Rs. 5 lac to Mr. Gagan Narang; and Rs. 3 lac to Mr. Asher Noria.
At the 50th ISSF World Shooting Championship held at Munich, Ms. Tejaswini Sawant won Gold medal in the 50 meter rifle prone event, Mr. Gagan Narang won Bronze medal in the 10 meter air rifle event and he also became the first Indian to qualify for the 2012 London Olympics. Moreover Mr. Asher Noria clinched gold in the men’s junior double trap event of the prestigious ISSF World Shooting Championship at Munich.
Sahara India Pariwar, along with Indian Boxing, Wrestling, and Archery had earlier adopted Indian Shooting. Towards this, Sahara India Pariwar along with the National Rifle Association of India (NRAI) identified 15 shooters including many upcoming ones who are being provided support till after the Olympics at London in 2012. These shooters are part of pool of 56 sportsmen in these four games to which the group is providing support until after London Olympics 2012.
While felicitating the shooters, Mr. Subrata Roy Sahara, Managing Worker and Chairman, Sahara India Pariwar said, “We take great pleasure in offering our warmest congratulations to all the shooters who kept the Indian flag high at the prestigious 50th ISSF World Championship 2010 held at Munich. May they continue to win fresh laurels for the country in the international sporting arena and be a beacon of hope and a fountain of inspiration as they lift the spirits of the entire Indian sporting fraternity. Indeed, their sporting triumph has spread happiness all around".

Sahara India Power Corporation Limited’s 1320 MW Titilagarh power plant will be based on environmentally efficient Supercritical Technology
Signs MOU with EWP, Korea for Technology & Joint participation in the project
Mumbai, July 27, 2010: Sahara India Power Corporation Limited (SIPCL) is setting up 2X 660(1320) MW Power Plant with investment of Rs. 8000 Crores based on Supercritical Technology. This Plant is based on advanced / best technology of world with participation of Korea East-West Power Co. Ltd., a company owned by the Government of Korea. This plant will operate with effluents of less than 50% of the limits fixed by Ministry of Environment & Forests, Govt. of India in their pollution standards.
The plant will operate with high pressure and high temperature thereby reducing coal consumption, which will drastically reduce SPM, SOX, and NOX. The Chimney height of 275 mtr. will help in keeping the environment clean. There will be green belt of 100 meter width adjoining the plant boundary and a total of 320 acres of plant will be in the greenbelt area. There will be a huge water reservoir having capacity of 11 lakh cubic meter inside the plant boundary. These environmental measures will help in control of temperature and there will not be any increase in the ambient temperature levels of the locality compared to the present.
This plant is located in the Titilagarh Tahasil of Balangir district in KBK Region where at present no major industry exists. The plant will be located in 950 Acres. There will be no displacement in the area. There is no forest land & irrigated land within the area earmarked. Orissa Water Department has sanctioned 50 Cusecs water to be drawn from Tel River. The plant is located about 2.00 Km away from river Tel thereby leaving substantial land for use by villagers for cultivation of vegetables etc.
The plant is envisaged with zero discharge i.e. no waste water will go outside the plant. All waste water will be treated and used within the plant. The Supercritical Technology envisages less consumption of water and fuel thereby resulting in low generation of ash. The ash generated will be disposed off with advanced technology high density system so that there will be no fly ash issues in the vicinity. The entire ash generated will be used in land filling, cement-industry, brick making, fertilizer etc. as per MOEF norms.
As per MOU with State Govt. 90% of Unskilled people, 60% skilled people, 30% Supervisory managerial people will be filled up by Project affected people (1st Preference) and people of Orissa. About 2000 people will get direct / indirect employments through the project.
With establishment of this Power Plant and availability of electricity many small and large scale industries will come up in the area generating major employment, self employment and business opportunities vastly improving the per capita income and living standards. There will be unprecedented all round economic growth in the area / Balangir district, the seed for which will be sown by implementation of the power plant by Sahara.
To reap fullest, SIPCL will train the local people by establishing ITI and training centres. Primary & higher education in the area will be supported by SIPCL. SIPCL has already initiated its CSR activities where SIPCL has been supplying potable drinking water in Titilagarh area in recent dry summer season & 3 nos. Of Mobile Health Unit (MHU) vans are operating in the Titilagarh and adjacent areas with qualified doctors and free medicines to take care of primary health of village people. All other corporate social responsibility will be in accordance with that decided by RPDAC and state Govt. from time to time.
Sahara is well known in the country for its social responsibility commitments and the local people will be benefited through these efforts with overall improvement in health, education, agriculture, communication and sports activities etc.

Generals of Sahara Pune Warriors Decided - Cricketing Legend Geoff Marsh as Head Coach and English all rounder Dermot Reeve as Assistant Coach
Lucknow, July 5, 2010: Sahara Pune Warriors, the Pune franchise of Indian Premier League (IPL) is delighted to announce the appointment of its Head and Assistant Coach for IPL season 4. The legendry Australian opener and world cup winning coach of Steve Waugh’s side in 1999, Mr. Geoff Robert Marsh has been appointed the Head coach of the team while former England international all rounder Mr. Dermot Reeve has been appointed the Assistant Coach. The announcement was done by Mr. Subrata Roy Sahara, Managing Worker and Chairman, Sahara India Pariwar at the Sahara Headquarters with both Mr. Geoff Marsh and Mr. Dermot Reeve present at the conference.
Mr. Geoffrey Robert Marsh, the legendry Australian cricketer, coach and selector, as a cricketer played 50 Test matches and over 100 one-day Internationals for Australia,as an opening batsman. Marsh was a steady, solid right-handed opening batsman. He made his first-class debut for Western Australia as a nineteen year old in the 1977-1978 Sheffield Shield season. Marsh played international cricket over a seven-year period, ending in 1992. As a coach he was in charge when Australia won the 1999 Cricket World Cup in England, guiding the team to seven consecutive victories to help them win the tournament. Marsh was chosen as coach of the Australian national Test and one-day international teams in July 1996, playing a vital part in continuing his country's positions as the top cricketing nation of the time. He left the Australian coaching job and soon became a selector for the Australian Cricket Board (now Cricket Australia). In 2001 he was appointed as the coach of the Zimbabwean national team.
Mr. Dermot Reeve best known as an English all-rounder has made his first class cricket debut for Sussex in 1983 and played 29 one-day Internationals, including the World Cup Final in 1992 for England and 3 Test Matches for England. He is awarded with Wisden Cricketer of the Year 1995 and only person to win 3 ‘Man of the Match’ awards in Lord’s finals. He served as Hong Kong’s Cricket Coach in 1994/95, as a T20 bowling coach for New Zealand in 2008, as a Central districts coach 2008-09 and 2009-10 and Raigad Royals coach 2009 and 2010

Air India lifts the Sahara City Homes Sheesh Mahal Cricket Trophy

Lucknow, June 5, 2010: The final match of the ‘57th Sahara City Homes Sheesh Mahal Cricket Tournament’ was played today between Air India and Sahara India at K.D. Singh Babu Stadium where Air India won the match by a margin of 54 runs. The tournament which started on 31st May 2010 and served as a feast to the sports lovers of the city was concluded with huge fanfare and glitterati. Harbhajan Singh was the Chief Guest for the final match that captivated the attention of the people of the city.
The start of the match was delayed due to showers in the morning. The match started at 1:00 p.m. and the number of overs per side, were reduced to 12 from 20. Ajeet Chandela of Air India scored quick 44 runs in just 19 balls. He also took 3 wickets for 16 runs in 3 overs and was awarded ‘Man of the Match’ for his stupendous performance. The ‘Man of the Tournament’ Award went to Abhishek Jhunjhunwala of Sahara India, for his outstanding batting throughout the tournament. Earlier, Sahara India had defeated India Oil by a huge margin of 91 runs and Air India won their match against ITC by 4 wickets to make their way into the final of ‘57th Sahara City Homes Sheesh Mahal Cricket Tournament’.

Adopted by Sahara in the year 2006, ‘Sahara City Homes Sheesh Mahal Cricket Tournament’ is played on a league cum knock out basis. This year, there were 8 teams which were divided into 2 pools with 4 teams in each pool. The teams of Indian Oil, ONGC, Maharashtra Cricket Association and ITC are placed in Pool A while Pool B includes the teams of Air India, Uttar Pradesh Cricket Association, India Post and Sahara India. The matches were played at K.D. Singh Babu Stadium and Chowk Stadium with 2 matches on each ground on 31st May, 1st June and 2nd June 2010. The semi-finals were played on 4th of June 2010.
The tournament which is one of the oldest and the most acclaimed national cricket events has seen many cricket legends playing for the Cup. Sahara has plans to develop the event as one of the major cricket tournaments of the sub-continent in the coming years. This will help the development of the game at ground level and will provide the international exposure to the local players from different parts of the nation.
Match Summary:
The final match (Air India vs. Sahara India) was played today at K.D. Singh Babu Stadium where Air India defeated Sahara India by a margin of 54 runs. The start of the match was delayed due to rain in the morning and for the same, the match was reduced to 12 overs per side. After winning the toss, Air India decided to bat first and scored 113 runs for the loss of 4 wickets in 12 overs. Ajeet Chandela of Air India who scored a quick 44 runs of 19 balls and took 3 wickets in 3 overs, giving away 16 runs, was awarded ‘Man of the Match’ for his all-round performance. Batting second, Sahara India scored 59 runs for the loss of 8 wickets in 12 overs.

Sahara ties up with Israeli firm for solar technology
Mumbai, May 25 : Sahara India Power Corp, a subsidiary of the Sahara India group, Tuesday said it has tied up with Israel-based Safesky Software to manufacture advanced solar power technologies.
The companies will also set up a demonstrative solar power plant of 5 MW at a Sahara India owned location in India.
'Safesky has advanced technologies in Solar Power, Medical, Communication and Water which will be available to Sahara India Power Corporation for marketing and manufacturing in India,' said a Sahara statement.
'This new technology is definitely going to benefit our country in a very big way. In our country, particularly in rural areas with 500 million people, the power deficit is very high and I am sure this product will definitely help our country immensely,' said Saharasri Subrata Roy, chairman, Sahara India Pariwar.
